Welcome to Binnie Trading (“we”, “us”, “our”). These Terms & Conditions govern your commercial engagement, trade enquiries, brand distribution representations, and wholesale procurement activities conducted with Binnie Trading across the United Kingdom and Europe.
1. Commercial Scope & B2B Applicability
Binnie Trading operates exclusively as a business-to-business (B2B) trade platform and commercial intermediary. We connect manufacturers, brand owners, authorized importers, verified wholesalers, and enterprise resellers. By submitting an enquiry or transacting with us, you confirm that you are acting in a commercial or professional capacity under the laws of England and Wales (or relevant European trade jurisdictions).
2. Brand Distribution & Evaluation
- Stage-1 Evaluation: Submissions made via our Brand Representation route undergo direct operator vetting regarding commercial viability, compliance (including UKCA/CE markings), MAP enforcement, and target distribution channels.
- Confidentiality: Brand catalog submissions, wholesale price lists, and proprietary product specifications provided through our trade desk remain strictly confidential under customary commercial non-disclosure practices.
- Pricing & Representation: Formal distribution agreements, minimum order quantities (MOQ), exclusivity parameters, and territorial allocations are defined in individual commercial supplier agreements.
3. Wholesale Sourcing & Orders
- Account Qualification: Wholesale buyers must provide verified business registration, VAT details (where applicable), and target resale channels before commercial tier pricing or stock allocations are finalized.
- Invoicing & Payment Terms: Invoices are issued in GBP (£) or EUR (€). Pro-forma or contracted credit terms will be specified on individual trade pro-forma invoices. Goods remain the property of Binnie Trading or authorized supply partners until full payment has cleared.
- Lead Times & Logistics: Pallet and full container load (FCL) delivery schedules are estimated based on verified carrier logistics across the UK and European bonded/commercial warehouses.
4. Regulatory Compliance & Standards
All products distributed through Binnie Trading routes comply with relevant UK and EU product safety standards, labeling requirements, and intellectual property laws. Resellers agree to uphold authorized resale standards and agreed territorial distribution terms.
5. Limitation of Liability
To the maximum extent permitted under UK law, Binnie Trading shall not be liable for any indirect, special, or consequential loss, loss of profit, or commercial disruption arising out of trade communications or logistical carrier delays beyond reasonable operational control.
6. Governing Law & Jurisdiction
These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of commercial arrangements shall be subject to the exclusive jurisdiction of the English courts.
